Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between Shiprocket Limited, previously known as Shiprocket Private Limited and originally known as Bigfoot Retail Solutions Private Limited, a company incorporated under the provisions of the Companies Act, 1956, having its registered office at Plot No. B, Khasra-360, Sultanpur, M.G. Road, New Delhi-110030, India and its corporate office at 416, Phase-III, Udyog Vihar, Gurgaon, Haryana-122002 ("Company", "we", "us", or "our") and the user ("User", "Customer", or "you") governing access to and use of the Company's AI Voice Assistant platform, website, APIs, and related services (collectively, the "Services").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.
If you do not agree to these Terms, you must not access or use the Services.
01Definitions
- AI Assistant — An AI-powered voice agent created by the User through the platform to handle or initiate telephone conversations.
- Broadcast Calling — Automated outbound calling campaigns to multiple recipients.
- User Content — Any data, prompts, scripts, phone numbers, files, or information uploaded or submitted by Users.
- Call Data — Recordings, transcripts, summaries, sentiment analysis, and metadata generated during calls.
- Workspace — An organizational environment allowing teams to collaborate within the platform.
02Description of Services
The platform provides tools for building, deploying, and managing AI voice assistants capable of conducting automated phone calls and conversations. Services may include:
2.1 AI Voice Assistant Builder
Users may configure AI assistants by:
- Selecting voice models and languages.
- Defining assistant roles (sales, support, HR, etc.).
- Uploading knowledge sources such as documents or website links.
- Testing voice assistants via real phone calls.
2.2 Automated Calling & Broadcasting
The platform may allow:
- Outbound call campaigns.
- Bulk call broadcasting.
- Scheduled calling.
- Retry attempts and cooldown periods.
- Dynamic call flows.
2.3 Call Analytics
The platform may provide:
- Call recordings.
- Call transcripts.
- AI-generated summaries.
- Sentiment analysis.
- Campaign analytics and outcomes.
2.4 Phone Number Provisioning
Users may purchase or provision local or virtual phone numbers through the platform. These services may be provided by third-party telecommunications providers.
03Account Registration
To access certain Services, Users must create an account. Users agree to:
- Provide accurate and complete information.
- Maintain the confidentiality of account credentials.
- Be responsible for all activity under their account.
- Immediately notify the Company of unauthorized use.
The Company shall not be responsible for any loss arising from unauthorized account access.
The Services can only be used by individuals aged eighteen (18) years or above. The User agrees not to use the Services to target, interact with, or collect data from minors in violation of applicable laws. Any misuse involving minors may result in immediate termination.
04User Responsibilities
Users are solely responsible for their use of the platform. Users agree that they will:
- Use the Services only for lawful purposes.
- Obtain consent before recording calls where required.
- Ensure compliance with applicable telecommunication laws.
- Use accurate caller identification.
- Not impersonate individuals or organizations.
Users are solely responsible for call scripts, voice assistants, and call campaigns created on the platform.
The User shall not use the Services for political campaigning, electioneering, or dissemination of political messaging, including disinformation or AI-generated deceptive content such as deepfakes intended to influence public opinion or electoral processes. Any such use shall constitute a material breach and may result in immediate suspension or termination.
05Telemarketing & Calling Compliance
Users agree to comply with all applicable laws governing automated calling and telecommunications. These may include:
- Telemarketing laws.
- Consumer consent requirements.
- Call recording disclosure requirements.
- Do-Not-Call registry restrictions.
- Anti-spam and robocalling regulations.
Users must:
- Obtain prior consent where required before initiating automated calls.
- Maintain records of consent.
- Avoid calling numbers on Do-Not-Call registries.
- Clearly disclose the use of AI where required.
Failure to comply with such laws may result in suspension or termination of Services.
06Prohibited Uses
Users must not use the platform for:
- Scam calls or fraudulent schemes.
- Spam or unsolicited robocalls without consent.
- Harassment or abusive communications.
- Caller ID spoofing.
- Phishing or deceptive practices.
- Illegal surveillance or impersonation.
- Generating voices of real individuals without consent.
The Company maintains a zero-tolerance policy for fraud and scam activity.
The User shall not attempt to bypass or circumvent any safety mechanisms of the Services, including through prompt injection or jailbreaking techniques intended to generate prohibited content. Such actions may result in immediate suspension or termination. Accounts violating this policy may be suspended immediately.
07User Content
Users retain ownership of content uploaded to the platform. However, by uploading content, Users grant the Company a limited license to:
- Store.
- Process.
- Analyze.
- Use the data to operate the Services.
Users represent and warrant that they have the rights necessary to use any content submitted.
08AI System Limitations
AI voice assistants rely on machine learning models and may produce inaccurate, incomplete, or unexpected responses. The Company does not guarantee that:
- AI outputs will be accurate.
- Calls will achieve intended results.
- AI assistants will perform without errors.
Users are responsible for testing AI assistants before deploying them.
09Call Recording & Data Processing
Calls conducted through the platform may be recorded and processed for purposes including:
- Call analytics.
- Transcription.
- Performance monitoring.
- AI system improvement.
Where recordings are used for model training or system improvements, the data may be aggregated and anonymized.
Users are responsible for complying with call recording consent laws.
10Data Privacy & Security
The Company may collect and process information including:
- Account information.
- Call data.
- Voice recordings.
- Phone numbers.
- Usage analytics.
Data may be used for:
- Providing the Services.
- Improving AI models.
- Security monitoring.
- Fraud prevention.
Users may withdraw consent for data processing as permitted by applicable laws. The Company implements commercially reasonable security measures to protect data.
11Third-Party Services
The Services may rely on third-party providers including:
- Telecommunication carriers.
- Cloud hosting providers.
- AI model providers.
- Payment processors.
The Company is not responsible for outages or failures caused by third-party services.
12Fees and Payments
Certain features require payment. Users agree to pay all applicable fees associated with:
- Call usage.
- Phone numbers.
- Subscription plans.
- Broadcast campaigns.
- Additional features.
Payments may be billed:
- Monthly.
- Based on usage.
- Via automated payment methods.
Failure to pay fees may result in suspension of Services.
13Intellectual Property
All intellectual property rights related to the platform, including:
- Software.
- AI models.
- Voice technology.
- Platform interface.
- Documentation.
remain the exclusive property of the Company or its licensors. Users may not:
- Reverse engineer the platform.
- Copy or resell the Services.
- Build competing products using the platform.
14Termination
The Company reserves the right to suspend or terminate a User's account or access to the Services, at its sole discretion, in the event that the User (i) violates these Terms, (ii) engages in any unlawful, fraudulent, or prohibited activity, (iii) fails to pay applicable fees when due, or (iv) uses the platform in a manner that may expose the Company to legal, regulatory, or reputational risk. Upon suspension or termination, the User's access to the Services shall immediately cease, and the Company may retain or delete any stored data, content, or call records associated with the account after a reasonable retention period in accordance with its internal policies and applicable laws.
15Disclaimer of Warranties
The Services are provided "as-is" and "as available." The Company disclaims all warranties including:
- Merchantability.
- Fitness for a particular purpose.
- Accuracy of AI outputs.
- Continuous availability of services.
The User shall not use the Services to provide medical, legal, financial, or other regulated professional advice. The Services are provided on an "as-is" basis, and the Company shall not be liable for any reliance on AI-generated outputs.
16Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- Indirect damages.
- Loss of profits.
- Loss of business.
- Loss of data.
- Regulatory penalties incurred by the User.
- If the User provides Services to third parties, the User shall remain fully responsible for their actions. Any violation by such third parties shall be deemed a violation by the User, and the Company shall bear no liability arising from such use.
Total liability shall not exceed the amount paid by the User in the preceding 1 month.
17Indemnification
Users agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with the User's access to or use of the platform, including but not limited to:
- Any illegal, fraudulent, or unauthorized calls or campaigns conducted through the Services.
- Any violation of applicable telecommunications, telemarketing, privacy, or data protection laws.
- Any failure to obtain required consents for call recordings or automated communications.
- Any content, scripts, phone numbers, or other User Content uploaded, transmitted, or used through the platform.
18Modification of Terms
The Company reserves the right, at its sole discretion, to modify, amend, or update these Terms from time to time. Any such changes will be posted on the website and shall become effective upon publication unless otherwise stated. Users are responsible for reviewing the Terms periodically to stay informed of any updates. Continued access to or use of the Services after the posting of revised Terms shall constitute the User's acknowledgement and acceptance of such modifications.
19Governing Law
These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
